1. Acceptance of Terms

By accessing or using the PawketPlace platform (the “Platform”), you agree to be bound by these Terms of Use (the “Terms”). PawketPlace (“Company”, “we”, “us”, or “our”) provides a smart pet care assistant platform offering predictive insights, appointment booking services, digital pet health record storage, and related informational content (collectively, the “Services”). These Terms constitute a legally binding agreement between you (the “User” or “you”) and PawketPlace. If you do not agree to any part of these Terms, do not use the Platform or Services. We reserve the right to revoke or suspend your access to the Platform at any time for violations of these Terms or our Privacy Policy.

2. Definitions

For purposes of these Terms:

“Platform” includes the PawketPlace mobile application, website, and any other online services or software provided by PawketPlace.

“Services” refers to all features and functionalities provided through the Platform, including but not limited to predictive pet health insights, appointment scheduling with third-party providers, digital pet health data storage, and the smart pet care assistant.

“User” or “you” means any individual accessing or using the Platform or Services.

“Content” means any information, text, graphics, images, or other materials uploaded to, or provided through, the Platform (including information provided by Users or by PawketPlace).

“Third-Party Provider” means any independent third-party (such as veterinarians, clinics, groomers, or other pet service providers) whose services may be booked or accessed through the Platform.

3. Description of Services

PawketPlace offers an integrated digital pet care solution designed to assist pet owners in managing their pets' health and wellness:

• Predictive Insights: We utilize data (such as health inputs, or historical records) to provide predictive analytics and insights into your pet's health trends. These insights are for informational purposes only and are not guaranteed to be accurate or conclusive. They are intended to help you make better-informed decisions but are not a substitute for professional veterinary advice or diagnosis.
• Appointment Booking: The Platform allows you to search for and book appointments with Third-Party Providers (e.g. veterinary clinics or pet service professionals). PawketPlace acts solely as an intermediary in facilitating these bookings and does not provide the underlying veterinary or pet services . Any contract for services is strictly between you and the Third-Party Provider, and we are not a party to those agreements.
• Digital Pet Health Records: PawketPlace enables you to store and organize your pet's health information (such as vaccination records, medical history, or lab results) digitally. While we take reasonable care to preserve the integrity of your stored data, you are responsible for ensuring the accuracy and completeness of any information you upload. We do not verify medical records uploaded by you or third parties.
• Smart Pet Care Assistant: Our Platform may include an AI-driven or automated assistant that can answer pet care questions, send care reminders, or provide wellness tips. All information provided by the assistant is general in nature and for educational purposes. It does not constitute veterinary or medical advice and should not be relied upon for the diagnosis or treatment of your pet's health conditions. Always consult a licensed veterinarian for serious concerns.

By using the Services, you acknowledge that PawketPlace is a facilitator of pet care information and connections, and not a veterinary clinic or emergency service. We do not guarantee that the Services or any Content will meet your expectations or achieve any specific result for your pet.

4. Account Registration and Security

To access certain features of the Platform, you may be required to create a User account. You agree to provide truthful, current, and complete information during registration and to update such information to keep it accurate. You are responsible for maintaining the confidentiality of your account login credentials and for all activities that occur under your account. You must immediately notify PawketPlace of any suspected unauthorized use of your account or security breach. We are not liable for any loss or damage arising from your failure to secure your account credentials. Use of another person's account is strictly prohibited. PawketPlace reserves the right to suspend or terminate your account if any information provided during the registration process or thereafter is or becomes inaccurate, false, or misleading, or if you are found to have violated these Terms.

5. User Obligations and Acceptable Use

When using the Platform and Services, you agree to comply with the following obligations and any applicable laws and regulations:

• Lawful Use: You shall use PawketPlace only for lawful purposes. Do not misuse the Platform in any manner that violates any law or regulation, including but not limited to the Singapore Computer Misuse Act (Cap. 50A) and the Cybersecurity Act 2018. Prohibited activities include attempting to gain unauthorized access to the Platform or related systems, introducing viruses or malicious code, or otherwise interfering with the proper functioning of the Platform.
• Truthful Information: You must not post or transmit any information that is untrue, fraudulent, or not your own. For example, you shall not misrepresent your identity, your pet's identity/health status, or any other material fact. Any information you provide (including pet medical information or appointment details) should be accurate to the best of your knowledge.
• Respect for Rights: You shall not upload or share content that infringes any third party's intellectual property rights, privacy rights, or other legal rights. This includes refraining from posting content (such as photos, documents, or data) that you do not have permission to use.
• No Harmful Use: You agree not to use the Platform to harass, abuse, defame, impersonate, stalk, threaten, or otherwise violate the legal rights of any other party (including other Users, PawketPlace staff, or Third-Party Providers). Similarly, you must not use PawketPlace to promote violence, discrimination, or illegal activities.
• No Commercial Exploitation: The Platform is for your personal pet care use. You shall not exploit the Platform or any Content for commercial purposes not expressly permitted by PawketPlace. This means you may not copy, distribute, license, or sell any Content obtained from the Services (other than your own User-provided content) without our prior written consent. You also must not frame or mirror our Site or Services, or resell use of the Platform to others, without permission.

We reserve the right to investigate and take appropriate legal action against any violations of this Section, including terminating your account and reporting unlawful conduct to the authorities when required.

6. Privacy and Data Protection

Your privacy is very important to us . By using the Platform, you consent to the collection, use, and disclosure of your personal data (and your pet's data) in accordance with our Privacy Policy and these Terms. Our Privacy Policy, which is hereby incorporated by reference, provides details on how we manage and safeguard your data. Key provisions regarding data protection include:

• Compliance with Law: PawketPlace complies with the Personal Data Protection Act 2012 of Singapore (PDPA) and other applicable data protection laws in the handling of personal data. We collect and process personal data (such as your name, contact information, and pet health details) only for legitimate purposes, for example, to provide the Services, facilitate appointment bookings, improve our Platform, and communicate with you about your account or pet care tips.
• Consent and Purpose Limitation: We will only collect personal data that you voluntarily provide to us or that is necessary for providing the Services. By providing personal data, you represent that it is accurate and that you have the authority to provide it (for instance, you are the owner of the pet or have the pet owner's consent). We will use your data only for purposes notified to you (such as operating the predictive health features or scheduling vet appointments) and for which you have given consent, except where otherwise permitted or required by law.
• Data Sharing: PawketPlace does not sell, rent, or lease your personal information to third parties . We may share your data with trusted third parties in certain circumstances: for example, we will share relevant information with a veterinarian or pet service provider when you book an appointment, and we may use third-party service providers for infrastructure, analytics, payment processing, or email communications. Any third-party partners who handle personal data are required to use it solely for the purposes of providing their services to us and are bound by confidentiality obligations. We may also disclose personal data if required by law or governmental order, or in good faith belief that such disclosure is necessary to (a) comply with legal obligations, (b) protect and defend the rights or property of PawketPlace, or (c) protect the personal safety of our Users or the public.
• International Transfers: Your personal data may be stored or processed on servers located in jurisdictions outside of Singapore. If we transfer personal data overseas, we will ensure that the recipient is bound by legally enforceable obligations to provide a standard of protection to the personal data comparable to that under the PDPA, or we will obtain your consent for the transfer. By using the Platform, you consent to the transfer of your data to servers or third parties in jurisdictions as necessary for our operations, in accordance with our Privacy Policy.
• Data Security: We employ reasonable administrative, physical, and technical safeguards to protect personal data against loss, misuse, unauthorized access or disclosure, alteration, or destruction. For example, we use encryption and access controls to protect sensitive data. However, no method of transmission over the Internet or electronic storage is completely secure. Therefore, while we strive to protect your personal data, we cannot guarantee its absolute security. You agree that you provide your personal data at your own risk. We encourage you to use strong passwords and to keep your account information secure.
• Data Retention: We will retain your personal data only for as long as reasonably necessary to fulfill the purposes for which it was collected (e.g., to provide Services to you) or as required by law. If you terminate your account, we will delete or anonymize your personal data within a reasonable time, except to the extent we are obliged to retain certain data for legal or record-keeping purposes.
• User Rights: Subject to applicable law, you have the right to access, correct, or request deletion of personal data that PawketPlace holds about you. You may also withdraw consent to certain uses of your data. Please refer to our Privacy Policy for details on how to contact us to exercise these rights. Withdrawal of consent for us to collect and process essential data may result in our inability to continue providing some or all Services to you.

By using the Platform, you acknowledge that you have read and understood our Privacy Policy. If you do not agree with how we handle your data as described in these Terms and the Privacy Policy, please discontinue use of the Platform.

7. Intellectual Property Rights

All content and materials available on the Platform, including but not limited to text, graphics, logos, button icons, images, audio clips, video clips, software code, and databases (collectively, “Platform Content” ), are the property of PawketPlace or its licensors and are protected by copyright, trademark, and other intellectual property laws. PawketPlace retains all rights, title, and interest in and to its intellectual property, including the “PawketPlace” name, logo, and all related product and service names, design marks, and slogans. You are not granted any rights in or to any PawketPlace intellectual property by implication or otherwise, except for the limited right to use the Platform in accordance with these Terms.

Limited License: PawketPlace grants you a limited, revocable, non-transferable, and non-exclusive license to access and use the Platform and Platform Content for your personal, non-commercial pet care purposes, strictly in accordance with these Terms. You may not reproduce, distribute, create derivative works from, publicly display, publicly perform, republish, download, or transmit any Platform Content without PawketPlace's prior written permission, except for your own User Content or as enabled by a share/download function within the Platform.

User Content: You retain ownership of any content, data, or materials you upload or submit to the Platform in the course of using the Services (e.g., pet photographs, descriptions, health information, or other materials) (“User Content”). By uploading or submitting User Content, you grant PawketPlace a worldwide, royalty-free, sublicensable, and transferable license to use, host, store, reproduce, modify, adapt, publish, and otherwise process your User Content for the purposes of providing and improving the Services (for example, displaying the content to you in the app, analyzing health records to provide insights, or sharing information with a vet upon your request). We will not use your User Content for marketing or external purposes without your consent. You represent and warrant that you have all necessary rights to grant this license for any User Content you provide and that such content does not infringe or violate the rights of any third party. PawketPlace reserves the right, but not the obligation, to remove or disable access to any User Content that violates these Terms or that we deem objectionable in our sole discretion.

8. Third-Party Services and Links

The Platform may contain links to third-party websites or resources, or facilitate interactions with third-party services or providers that are not owned or controlled by PawketPlace. These are provided for your convenience only. For example, as part of appointment bookings or product recommendations, we might direct you to third-party platforms or integrate certain third-party tools. PawketPlace does not endorse any third-party sites or services and we are not responsible for the content, products, services, or information provided by third parties. If you access third-party websites or engage third-party services through our Platform, you do so at your own risk, and separate terms and privacy policies of those third parties may apply to you. PawketPlace is not a party to any transactions or disputes between you and any third party. You agree that PawketPlace shall not be liable for any loss or damage of any sort incurred as a result of your dealings with third parties. Any complaints, concerns, or questions you have regarding third-party products or services should be directed to the respective third-party provider.

9. No Veterinary Advice (Informational Use Only)

PawketPlace is not a veterinary service provider . The Services and Content provided through PawketPlace (including the predictive analytics, health suggestions, and responses from the smart pet care assistant) are intended for general informational and educational purposes only, and are not intended nor suited to be a substitute for professional veterinary advice, diagnosis, or treatment.

You acknowledge and agree that no part of the Platform's content constitutes veterinary medical advice. PawketPlace is strictly a technology platform facilitating the storage and exchange of pet information and connecting pet owners with independent third-party veterinary professionals or other pet service providers. We do not act as a veterinarian or other licensed animal healthcare professional, and using PawketPlace does not establish any veterinarian-client-patient relationship between you and PawketPlace.

Do Not Rely on Informational Content: While we strive to provide useful and accurate information, any health or wellness insights about your pet are inherently predictions or general guidance and may not account for all factors present in your pet's condition. Always seek the advice of a qualified veterinarian with any questions you have regarding your pet's health. Do not disregard professional veterinary advice or delay seeking it because of something you have read or interpreted on our Platform. If your pet is or may be experiencing an emergency or serious medical issue, contact a veterinarian or animal hospital immediately - our Platform is not intended for use in emergency situations.

You assume full responsibility for how you choose to use information obtained from PawketPlace. PawketPlace and its affiliates are not liable for any outcomes arising from your reliance on information obtained through the Platform. This includes any harm or loss to you or your pet that may result from following suggestions, forecasts, or guidance provided by the Platform. By using the Services, you expressly waive and release any claim that you may have against PawketPlace arising from the use of such information by you to the maximum extent permitted under applicable law.

10. Disclaimer of Warranties

Use at Your Own Risk: The Platform and all Services and Content are provided on an “as is” and “as available” basis without warranties of any kind , either express or implied. To the fullest extent permitted by law, PawketPlace disclaims all warranties, express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and any warranties that may arise from course of dealing or course of performance. We do not guarantee that the Platform or Services will meet your requirements or expectations, or that they will be uninterrupted, timely, secure, or error-free. We make no warranty that any results or insights that may be obtained from the use of the Services will be accurate or reliable, or that any defects in the Platform will be corrected.

No Guarantee of Service Providers or Third-Party Content: PawketPlace makes no endorsement or warranty about any Third-Party Provider or their services, or about any information or advice provided by third parties through the Platform. We do not warrant the quality, expertise, qualifications, availability, pricing, or any other aspect of services provided by veterinarians or other pet professionals that you may access via PawketPlace. Interaction with any Third-Party Provider is at your own discretion and risk.

No Warranty on Data Integrity: While we endeavor to maintain the integrity and security of your data, we do not warrant that the Platform will be free of loss, corruption, attack, viruses, interference, hacking, or other security intrusions. You understand that any data (including personal data and pet health information) transmitted to or stored on the Platform is done at your own risk.

Jurisdictional Rights: If the law of a certain jurisdiction (including Singapore law) does not allow the exclusion of certain warranties, then some of the above exclusions may not apply to you. In such case, to the extent any warranties cannot be disclaimed, we limit the duration and remedies of such warranties to the shortest duration and the minimum extent permitted by applicable law.

11. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall PawketPlace, its parent company, affiliates, officers, directors, employees, agents, partners or licensors (collectively, the “PawketPlace Parties”) be liable to you or any third party for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, loss of data, loss of goodwill, or other intangible losses, arising out of or in connection with: (a) your access to or use of (or inability to access or use) the Platform or Services; (b) any conduct or content of any other user or third party on the Platform (including any defamatory, offensive or illegal conduct of other users or third-party providers); (c) any Content obtained from the Services; or (d) unauthorized access, use, or alteration of your transmissions or content. This limitation of liability applies whether such claims are based in warranty, contract, tort (including negligence), strict liability, or any other legal theory, even if PawketPlace has been advised of the possibility of such damages.

In particular, PawketPlace shall not be liable for any injury, illness, death, property damage, or other harm arising out of or related to the use of any information provided on the Platform or the provision of any services by a Third-Party Provider that you connect with through the Platform. We are not responsible for the actions, omissions, or malpractice of any veterinarians or pet service professionals who provide services to you, whether or not such professionals were contacted through our Platform.

Exceptions: Nothing in these Terms shall limit or exclude liability for any liability that cannot be excluded or limited by law (for example, certain liabilities under Singapore’s Consumer Protection (Fair Trading) Act, if applicable). However, in such cases, the liability of PawketPlace will be limited to the fullest extent permitted by law.

You acknowledge that the disclaimers and limitations of liability set forth in these Terms are material conditions for PawketPlace providing the Platform and Services, and that we have relied on these limitations in determining to enter into this agreement with you.
